Qrewlinq Terms of Service#
These Terms of Service ("Terms") are a binding legal agreement between you and Capital Grove Collective LLC, a company organized under the laws of the District of Columbia, United States, with a registered business address at 1820 Burke Street SE, Washington, DC 20003 ("Qrewlinq," "we," "us," or "our"). They govern your access to and use of the Qrewlinq mobile application, our websites, and related services (together, the "Service").
Summary (for convenience only; the full text governs)#
- What Qrewlinq is. Qrewlinq is a private, invite-based app for planning group trips. You create closed trip groups ("qrews"), add destinations ("linqs") and itinerary items, chat with other members, share photos, RSVP with your travel plans, and invite people you choose.
- You must be a U.S. resident and at least 13 years old to use Qrewlinq. If you are under the age of majority where you live, you may use it only with your parent or legal guardian's permission and any legally required parental authorization.
- You own your content. You keep ownership of your chat messages, photos, and trip content. You give us a license to host, store, display, transmit, and adapt that content so we can run, secure, and promote the Service.
- Group trips are shared. When you join a qrew, the other members of that qrew can see your messages, photos, RSVPs, and travel details. Automated safety filters check certain text intended for display to other users when it is submitted, but we do not routinely have people read private group messages.
- Zero tolerance for objectionable content and abusive users. Harassment, hate, illegal content, sexual exploitation, spam, and similar conduct are prohibited and can result in immediate content removal and account termination. You can report content and block users inside the app. We act on reports of objectionable content and abusive users, and we aim to do so within approximately 24 hours of receiving a report.
- Passwordless sign-in. You sign up and sign in with a one-time passcode (OTP) sent to your email. Keep your email and device secure; you are responsible for activity under your account.
- Free at launch. Qrewlinq is currently free to use. If we offer paid features in the future, we will provide the applicable purchase terms before they become available.
- Privacy. Our Privacy Policy explains what data we collect and how we use it, and it is part of these Terms.
- Deleting your account. You can delete your account in the app. Deletion is immediate and permanent; there is no undo or reactivation window, and your email and username become available again right away. We remove your account and associated data, subject to the limited retention practices described in our Privacy Policy (for example, chat messages you sent in qrews that continue to exist are not deleted with your account, and a GitHub feedback issue is not automatically deleted or redacted).
- Legal. The Service is provided "as is." Some sections limit our liability and address how disputes are handled. Rights that cannot lawfully be waived remain yours.
This summary is not a substitute for the full Terms below.
1. Introduction and Acceptance#
1.1 Binding agreement. By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1.2 Who Qrewlinq is. Qrewlinq is operated by Capital Grove Collective LLC. Qrewlinq is a private, invite-based group trip-planning social application available through its iOS app. Our current public websites provide information, legal documents, and support rather than a browser-based version of the application.
1.3 In-app acceptance during onboarding. When you sign up, we ask you to accept these Terms (and to acknowledge the documents referenced below) as part of onboarding, before you create or post any User Content (such as chat messages, photos, or trip content). Your acceptance during onboarding, and your continued use of the Service, confirm your agreement to these Terms.
1.4 Related documents. These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and disclose personal data (see Section 18). These Terms also contain the license terms for the Qrewlinq application software (see Sections 5 and 17); we do not publish a separate end user license agreement. If you download the application from Apple's App Store, Apple's standard Licensed Application End User License Agreement applies to your download as between you and Apple, and Section 17 contains the provisions Apple requires as between you and us. If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy controls for that subject.
1.5 Changes. We may update these Terms as described in Section 25.
2. Definitions#
In these Terms, capitalized terms have the meanings below.
- "Service" means the Qrewlinq iOS application, our websites, our application programming interfaces and backend, push notifications, and all related features, content, and services we provide.
- "Qrew" means a closed, invite-based trip group you or another Member create within the Service to plan and coordinate travel.
- "Linq" means a destination added within a qrew, together with its dates and itinerary items (such as stays and activities).
- "User Content" means any content you submit, post, upload, transmit, or otherwise make available through the Service, including chat messages, emoji reactions, photos (such as your profile photo and qrew cover photos), display name, qrew names and descriptions, linq destinations, itinerary-item names, notes, location text, URLs, costs, dates, RSVPs and travel details, interest and time-slot responses, and feedback.
- "Account" means the account you register to access the Service.
- "Device" means a smartphone, tablet, computer, or other device you use to access the Service.
- "Member" means a registered user of the Service. When used in relation to a particular qrew, "Member" means a user who belongs to that qrew.
3. Eligibility and Age Requirements#
3.1 U.S. residency and minimum age (13+). The Service is currently offered only to residents of the United States who are at least 13 years old. The Service is a general-audience service and is not directed to children under 13. You may not create an Account or use the Service if you are under 13.
3.2 Minors and parental permission. If you are under the age of majority where you live, you may use the Service only with the permission of your parent or legal guardian and with any parental authorization required by applicable law or the App Store. Your parent or guardian should review these Terms with you. Nothing in these Terms is intended to override any right or protection that applicable law gives to a minor.
3.3 Eligibility representation and verification. By creating an Account or using the Service, you represent that you are a U.S. resident, are at least 13 years old, have provided accurate registration and eligibility information, and, if you are a minor, have the permission and any authorization required by Section 3.2. We may use age-range, parental-authorization, and similar eligibility signals made available by Apple or another legally authorized provider, and may request additional confirmation where required by law. We do not ask you to provide your exact birth date to create an Account.
3.4 Right to restrict ineligible or banned accounts. If we learn that an Account belongs to a person under 13, or that legally required parental authorization has not been provided or has been withdrawn, we may restrict or terminate the Account and delete its associated personal data as described in our Privacy Policy. We may also restrict or terminate an Account if we cannot confirm eligibility as required by law, or refuse to reinstate an Account we reasonably believe belongs to a person we previously banned or was created to evade enforcement under these Terms.
3.5 Geographic availability. New Accounts are currently offered only to U.S. residents, and the App is currently distributed only through the United States App Store storefront. A U.S. resident's temporary travel outside the United States does not by itself make the Service available in another country. We may limit or change availability by location and may expand to other countries or regions after completing the legal, privacy, and product review appropriate for that expansion. You are responsible for complying with laws that apply to you while using the Service.
4. Account Registration, Security, and Responsibility#
4.1 Passwordless email OTP signup. You register and sign in using a passwordless one-time passcode ("OTP") that we send by email to the address you provide. We do not use traditional passwords. You are responsible for maintaining access to, and the security of, the email address associated with your Account.
4.2 Accurate information. You agree to provide accurate, current, and complete information when you register, and to keep it up to date.
4.3 One account. You may maintain only one Account unless we expressly permit otherwise. You may not create an Account using another person's identity or email without authorization.
4.4 Credential and session security. Your sessions are secured using access and refresh tokens. On iOS, the application stores these tokens in the Device Keychain. You are responsible for keeping your Device, your email account, and your authenticated sessions secure, and for signing out on shared or lost Devices. Notify us promptly at support@qrewlinq.com if you believe your Account or email has been compromised.
4.5 Responsibility for activity. You are responsible for all activity that occurs under your Account, whether or not authorized by you, except to the extent caused by our failure to provide reasonable security or as otherwise required by applicable law. We are not liable for any loss arising from unauthorized use of your Account that results from your failure to maintain the security of your email or Device.
5. License to Use the Service and the Application#
5.1 Service license. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use of planning and coordinating trips with people you invite or who invite you.
5.2 Application software license. Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Qrewlinq application software on Apple-branded Devices that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions (except that the application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where available). The application software is licensed to you, not sold. See Section 17 for additional provisions that apply when you obtain the application from Apple's App Store.
5.3 License restrictions. Except as expressly permitted by these Terms or by applicable law notwithstanding this restriction, you may not, and may not permit or assist anyone else to:
- (a) copy the application software, except as reasonably necessary to use it as intended;
- (b) modify, adapt, translate, or create derivative works of the Service or the application software;
- (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application software or the Service (see also Section 8.2(i));
- (d) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the application software or your access to the Service to any third party;
- (e) remove, alter, or obscure any copyright, trademark, or other proprietary notices; or
- (f) use the Service or the application software to build a competing product or service.
5.4 Updates. We may make updates, upgrades, bug fixes, and new versions of the application software available from time to time, and these Terms govern them unless they come with separate terms. Updates may install automatically depending on your Device settings. We may require you to update to a current version to continue using the Service. We have no obligation to provide any particular update or to continue supporting any particular version, Device, or OS version.
5.5 Open-source components. The application software and the Service may include open-source or third-party software components that are subject to their own license terms. Those terms apply to those components in place of the license in this Section to the extent required by them.
5.6 Reservation. Except for the rights expressly granted in these Terms, we and our licensors retain all right, title, and interest in and to the Service and the application software. No rights are granted by implication, estoppel, or otherwise.
6. User Content, Ownership and License Grant to Us#
6.1 You retain ownership. As between you and us, you retain all ownership rights you hold in your User Content. These Terms do not transfer ownership of your User Content to us.
6.2 License you grant to us. You grant Qrewlinq a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, cache, reproduce, display, perform, transmit, modify, adapt, reformat, translate, and create derivative works of your User Content, in each case solely as reasonably necessary to:
- (a) operate the Service and provide it to you and to the other Members with whom you share content (for example, to deliver chat messages, render link previews, generate image thumbnails and resized versions, store and serve your photos, and synchronize content across Devices);
- (b) secure the Service and our Members (for example, to back up, protect, troubleshoot, and prevent abuse of the Service, and to comply with law and enforce these Terms); and
- (c) promote the Service (for example, to feature non-private, non-confidential content you have made publicly available, or content you specifically authorize us to use, in marketing or demonstrations of the Service).
6.3 Sublicense to providers. The license in Section 6.2 includes the right to sublicense these rights to our service providers and sub-processors solely to provide the Service on our behalf. This includes, for example, Amazon Web Services (cloud hosting and storage, including Amazon CloudFront for content delivery of photos), and Apple Push Notification service (delivery of push notification content). Our use and our providers' use of your User Content is also governed by our Privacy Policy.
6.4 Scope and duration. The license in this Section lasts only as long as we retain your User Content, and it ends when your User Content is deleted from the Service in the ordinary course, subject to the deletion and retention practices described in our Privacy Policy and Section 22. Some content you have shared with other Members, or that they have copied or saved, may persist with those Members independently of your Account (see Section 10). Residual copies may remain in routine backups for a limited period.
6.5 No obligation to use. Nothing in this Section requires us to use, display, store, or retain any particular User Content.
7. User Content, Your Representations and Responsibility#
7.1 Your representations. For all User Content you submit, you represent and warrant that:
- (a) you own the User Content, or you have all rights, licenses, consents, and permissions necessary to submit it and to grant the license in Section 6;
- (b) your User Content, and our use of it as permitted by these Terms, does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy or publicity rights, or any other right, and does not violate any applicable law;
- (c) you have obtained any consent required from individuals who appear in or are identifiable from your User Content (for example, people in your photos or people whose information you include in trip plans); and
- (d) your User Content complies with these Terms, including the Acceptable Use Policy in Section 8.
7.2 You are responsible for your content. You are solely responsible for your User Content, including your chat messages, photos, and trip content, and for the consequences of submitting it. We do not endorse, and are not responsible for, any User Content. We apply automated safety filters to certain text intended for display to other users when it is submitted, but do not routinely have people read private group messages (see Sections 9 and 10).
8. Acceptable Use Policy, Prohibited Conduct, and Zero Tolerance for Objectionable Content and Abusive Users#
8.1 Zero tolerance. Qrewlinq has zero tolerance for objectionable content and for abusive users. Consistent with Apple App Store Review Guideline 1.2, Qrewlinq maintains this zero-tolerance policy and is committed to acting on objectionable content and abusive users. By using the Service, you agree that there is no tolerance for objectionable, illegal, or abusive content or conduct, and you accept that violations may result in the immediate removal of content and the immediate suspension or termination of your Account, without prior notice and at our sole discretion.
8.2 Prohibited content and conduct. You agree that you will not, and will not attempt to, use the Service to create, upload, post, transmit, store, share, or otherwise make available any content, or engage in any conduct, that:
- (a) is illegal, or that promotes, facilitates, or instructs others in illegal activity;
- (b) harasses, bullies, threatens, intimidates, stalks, or defames any person;
- (c) is hateful or promotes discrimination, bigotry, or violence against individuals or groups based on race, ethnicity, national origin, religion, disability, gender, gender identity, sexual orientation, age, or any other protected characteristic;
- (d) is obscene, pornographic, or sexually explicit, or that sexualizes, exploits, endangers, or depicts the abuse of minors in any way (we report apparent child sexual abuse material to the appropriate authorities and organizations as required by law);
- (e) infringes or misappropriates any patent, copyright, trademark, trade secret, moral right, or other intellectual property or proprietary right, or that violates any privacy or publicity right;
- (f) is fraudulent, deceptive, or constitutes spam, chain messages, pyramid schemes, phishing, or other unsolicited or unauthorized advertising or solicitation;
- (g) contains or transmits viruses, malware, ransomware, or any other malicious or harmful code;
- (h) harvests, scrapes, or collects data about other Members or the Service through automated means (such as bots, crawlers, or scrapers) without our express written permission;
- (i) reverse engineers, decompiles, disassembles, or otherwise attempts to derive the source code of, or to circumvent any security, rate-limiting, or access-control feature of, the Service, except to the limited extent this restriction is prohibited by applicable law;
- (j) abuses, overloads, or interferes with the Service or its infrastructure, including through denial-of-service attacks, automated abuse, or excessive or anomalous request volumes;
- (k) impersonates any person or entity, or misrepresents your affiliation with any person or entity;
- (l) accesses an Account that is not yours, or attempts to gain unauthorized access to the Service or related systems or networks; or
- (m) is otherwise objectionable, or that we reasonably determine to be harmful to other Members, to third parties, or to us.
8.3 Enforcement. We may remove content and suspend or terminate Accounts that violate this Section, as described in Section 9. Our rights under this Section are in addition to any other rights and remedies available to us under these Terms or applicable law.
9. Content Moderation, Reporting, Blocking, Removal, and Enforcement#
9.1 In-app Report tool. The Service provides an in-app way to report objectionable content and abusive users. You can flag chat messages, photos, and user profiles that you believe violate Section 8. Reports help us identify and act on violations.
9.2 In-app Block tool. The Service provides an in-app way to block another Member. When you block a Member, we hide that Member's content from you (and your content from them) to the extent technically supported within shared qrews, and we limit certain interactions between you and the blocked Member.
9.3 Our enforcement commitment and rights. We are committed to acting on reports of objectionable content and abusive users. When we identify a violation of Section 8, whether through a report or otherwise, we will take appropriate action, which may include removing the violating content and ejecting, suspending, or terminating the responsible Member. In addition, we may (but, except as to objectionable content and abusive users described above, are not obligated to) monitor, review, filter, screen, or moderate User Content, and we may, at our discretion and without prior notice:
- (a) filter, remove, disable, or restrict access to any User Content;
- (b) suspend, restrict, eject, or terminate any Account or any Member's access to all or part of the Service; and
- (c) take any other action we consider appropriate in response to a report or a suspected violation of these Terms or applicable law.
9.4 Response target. We act on reports of objectionable content and abusive users, and we remove violating content or eject violating users where appropriate. We aim to do so within approximately 24 hours of receiving a report. This is a target, not a guarantee, and the time needed may vary depending on the nature and volume of reports.
9.5 No liability for moderation decisions. To the maximum extent permitted by applicable law, we are not liable to you or to any third party for any decision to remove, retain, filter, or restrict User Content, or to suspend, eject, or terminate any Account, or for any failure or delay in doing so. Moderation decisions may be imperfect, and we do not guarantee that we will identify or remove all objectionable content. This Section does not limit any non-waivable rights you may have under applicable law.
10. Group Trips and Shared-Content Visibility#
10.1 Qrews are shared spaces. Qrewlinq is built for coordinating trips with other people. When you join or participate in a qrew, the other Members of that qrew can see content you contribute to it. This includes, for example, your chat messages and emoji reactions, your profile photo and any photos you upload, your display name, your RSVPs (including your planned arrival and departure times and the free-text arrival and departure locations you enter), your interest and time-slot responses, and the trip and itinerary details you add (such as destinations, notes, costs, dates, and links).
10.2 Travel details are personal. Your RSVP and travel details can reveal where you plan to be and when. Share them only with qrews and Members you trust.
10.3 Members are independent recipients. Other Members are independent parties, not our employees or agents. Once you share content within a qrew, those Members may view it, and they may copy, save, screenshot, re-share, or retain it outside the Service in ways we do not control and cannot reverse. Removing content or leaving a qrew does not retrieve content that other Members have already received.
10.4 Automated checks; no routine human review. We apply automated pattern-based safety filters to certain text intended for display to other users, including account identity, chat, trip-planning, and free-text travel-participation fields, when it is submitted. We may reject text that appears to violate Section 8. These checks do not cover every text submission—for example, safety-report details and private feedback sent to us follow separate review paths—and automated checks are imperfect and do not mean that content has been approved by us. We do not routinely have people read the private messages or content exchanged within qrews. Authorized reviewers may review content that is reported or associated with a suspected violation as described in Sections 8 and 9.
10.5 User-to-user interaction risk. You are solely responsible for your interactions with other Members. We do not verify the identity of Members or the accuracy of their content, and we are not responsible for the conduct, content, or trustworthiness of any Member. Exercise caution and good judgment when interacting with others, sharing personal or travel information, or making plans to meet in person. To the maximum extent permitted by applicable law, we disclaim liability for disputes, losses, or harm arising from interactions between Members.
11. Invitations, Invite Links, and Referrals#
11.1 How invites work. You can invite people to a qrew by their @username within the Service, or by generating a shareable invite link that you send to people you choose. You are responsible for who you invite and for any link you share.
11.2 Anti-spam. You may use invitations and invite links only to invite people you actually know or who you reasonably expect want to join. You may not use the invite features to send spam, bulk, or unsolicited messages, or to invite people in violation of applicable anti-spam, telemarketing, or electronic-communications laws.
11.3 Invite-link tokens are share codes, not credentials. An invite link contains a token that functions as a share code for joining a specific qrew. It is not a password or an authentication credential and does not by itself grant access to your Account. Anyone who obtains an invite link may be able to use it to join the associated qrew until the link is revoked or expires, so share invite links only with people you intend to invite, and revoke links that are no longer needed.
11.4 No payment for referrals. We do not currently offer paid referral rewards. If we introduce a referral or rewards program in the future, we will publish separate terms for it.
12. Feedback#
If you send us feedback, suggestions, ideas, or other materials about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, and exploit the Feedback for any purpose, and to incorporate it into the Service, without any obligation, attribution, or compensation to you. To the extent permitted by applicable law, you assign to us all rights in any Feedback, and you waive any moral rights in it.
When you use Send feedback in production, we send the feedback text and limited app/device metadata to our private GitHub operational issue tracker to triage and improve the Service, as described in the Privacy Policy. The feedback text may include personal information you choose to provide. We do not deliberately add your account user ID or account email address, screenshots, screen/qrew/itinerary context, network state, client timestamp, or presigned links to that GitHub issue. A GitHub issue already created for feedback, or created from an event queued before account deletion, is not automatically deleted or redacted when you delete your account; see the Privacy Policy for retention and rights-request details. You are not required to provide Feedback, and you should not include in Feedback any information you consider confidential.
13. Third-Party Services and Content#
13.1 Third-party services. The Service relies on certain third-party services to function, including, for example:
- Geoapify, which provides city and destination autocomplete and receives the text you type into the destination search field (but not your IP address);
- Foursquare Places, which provides point-of-interest autocomplete and receives the text you type and, optionally, a coordinate reflecting the trip's destination area, never your device location or GPS (but not your IP address);
- GitHub, which provides our private operational issue tracker. For content reports, it receives only limited moderation-task metadata such as a random report ID, category, target type, creation time, deadline, and workflow status—not report evidence, report details, user IDs, email addresses, message or photo contents, or evidence links. For production feedback, it receives the feedback text, a random feedback ID and type, the fixed production environment, and app version, build number, iOS version, device model, locale, and time zone. We do not deliberately add your account user ID or account email address, screenshots or screenshot keys, screen/qrew/itinerary context, network state, client timestamp, or presigned links to a feedback issue; the feedback text itself may contain information you choose to provide;
- Apple Push Notification service (APNs), which delivers push notifications to your Device and receives your Device push token and notification content;
- PostHog, which provides optional, consent-based product analytics; and
- app-store and platform providers (such as Apple), which distribute the application and may provide payment and other platform services.
13.2 Links and pasted content. Members may paste links into chat and trip content, and the Service may display previews of those links. Links and previews point to third-party websites and content that we do not control, operate, or endorse.
13.3 No responsibility for third parties. Third-party services, websites, and content are governed by their own terms and privacy policies. We are not responsible for, and do not warrant, the availability, accuracy, content, products, or practices of any third party, including the third parties named above and any website you reach through a link in the Service. Your use of third-party services is at your own risk.
14. Intellectual Property Rights of the Company#
14.1 Our rights. The Service, including its software, code, design, "look and feel," user interfaces, text, graphics, and other content we provide (excluding User Content), and all related intellectual property rights, are owned by Qrewlinq or our licensors and are protected by intellectual property and other laws.
14.2 Marks. "Qrewlinq," the Qrewlinq logo, and other Qrewlinq names, marks, and slogans are trademarks or trade dress of Qrewlinq. You may not use them without our prior written permission. Other names and marks appearing in the Service are the property of their respective owners.
14.3 Reservation of rights. All rights not expressly granted to you in these Terms are reserved by us and our licensors.
15. Copyright and DMCA Notice-and-Takedown and Repeat-Infringer Policy#
15.1 Respect for copyright. We respect the intellectual property rights of others and expect Members to do the same. We respond to notices of alleged copyright infringement that comply with the U.S. Digital Millennium Copyright Act ("DMCA") and other applicable U.S. law.
15.2 How to submit a notice. If you believe content on the Service infringes your copyright, send a written notice to our copyright contact (Section 15.4) that includes:
- (a) your physical or electronic signature;
- (b) identification of the copyrighted work you claim has been infringed;
- (c) identification of the material you claim is infringing and information reasonably sufficient to let us locate it (such as the qrew and the content in question);
- (d) your contact information (name, address, telephone number, and email);
- (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.
15.3 Counter-notice. If your content was removed or disabled and you believe this was a mistake or misidentification, you may send a counter-notice to our copyright contact that includes:
- (a) your physical or electronic signature;
- (b) identification of the material that was removed and the location where it appeared before removal;
- (c) a statement, under penalty of perjury, that you have a good-faith belief the material was removed as a result of mistake or misidentification;
- (d) your name, address, and telephone number; and
- (e) a statement that you consent to the jurisdiction of the appropriate court and will accept service of process from the party that submitted the original notice (or its agent), as required by the DMCA.
15.4 Copyright contact. Notices and counter-notices should be sent to:
Copyright Contact Capital Grove Collective LLC 1820 Burke Street SE, Washington, DC 20003 Email: legal@qrewlinq.com
15.5 Repeat-infringer policy. We will, in appropriate circumstances and at our discretion, disable or terminate the Accounts of Members who are repeat infringers.
15.6 Other intellectual property complaints. If your intellectual property complaint does not fall under the DMCA, you may contact legal@qrewlinq.com with enough information for us to identify the work, the allegedly infringing material, your rights, and how to contact you. We will review the complaint under applicable U.S. law and these Terms.
16. Paid Features, Subscriptions, and Billing#
16.1 Free at launch. Qrewlinq is free to use at launch and does not offer paid features or subscriptions. If we introduce paid features, including auto-renewable subscriptions, we will provide the applicable purchase terms before they become available. We may add, change, or discontinue paid features, and we may change pricing, on a prospective basis as described in Section 25 and this Section.
16.2 Future Apple In-App Purchase. If we offer paid features on iOS, they will be sold through Apple's In-App Purchase system and billed to your Apple Account. By purchasing, you also agree to Apple's applicable terms (including the Apple Media Services Terms and Conditions).
16.3 Auto-renewable subscriptions. If you purchase an auto-renewable subscription:
- (a) Billing. Payment is charged to your Apple Account at confirmation of purchase.
- (b) Auto-renewal. Your subscription automatically renews for the same period at the then-current price unless you cancel it at least 24 hours before the end of the current period.
- (c) Renewal charge. Your Apple Account is charged for renewal within 24 hours before the end of the current period.
- (d) Managing and canceling. You manage and cancel your subscription in your Apple Account settings (Settings > your name > Subscriptions on iOS). Deleting the app does not cancel a subscription.
- (e) Price changes. We may change subscription prices. Apple will notify you of a price increase as required by Apple's rules, and, where required, the increase will not take effect for your subscription until you consent or as otherwise permitted by applicable law and Apple's policies. If you do not agree to a price change, you may cancel before it takes effect.
- (f) Taxes. Prices may include or be subject to applicable taxes, which may be added at purchase.
16.4 Refunds for App Store purchases. Purchases made through Apple In-App Purchase are processed by Apple. Requests for refunds of those purchases are handled by Apple in accordance with Apple's policies, and we have no separate obligation to provide refunds for purchases made through the App Store. This Section does not limit any non-waivable refund or cancellation right you may have under applicable law (see Sections 19 and 20).
16.5 No reliance on future features. Paid features are provided on an "as is" and "as available" basis (see Section 19). You should not purchase a subscription in reliance on features that are not yet available.
16.6 No web billing. We do not offer web billing. If we later offer paid features for purchase outside the App Store, we will present the additional checkout, payment-processor, cancellation, tax, refund, and consumer-withdrawal terms that apply to that purchase before you buy.
17. App Store Terms#
This Section applies when you obtain or use the Qrewlinq application from Apple's App Store. It supplements the license in Section 5.
17.1 Relationship. These Terms are between you and Qrewlinq only, and not with Apple. Apple is not responsible for the Service or its content.
17.2 Scope of license. The license granted to you for the application is limited to a non-transferable license to use the application on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
17.3 Maintenance and support. Qrewlinq, not Apple, is solely responsible for providing any maintenance and support services for the application, to the extent we provide any. Apple has no obligation to furnish any maintenance or support.
17.4 Warranty. To the maximum extent permitted by applicable law, Apple has no warranty obligation for the application. If the application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). Apple has no other warranty obligation with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty will be Qrewlinq's responsibility to the extent set out in these Terms.
17.5 Product claims. Qrewlinq, not Apple, is responsible for addressing any claims by you or any third party relating to the application or your use of it, including product-liability claims, claims that the application fails to conform to applicable legal or regulatory requirements, and claims under consumer protection or similar laws, to the extent these Terms do not validly disclaim such responsibility and subject to applicable law.
17.6 Intellectual property claims. Qrewlinq, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the application or your use of it infringes that third party's intellectual property rights.
17.7 Legal compliance, export control, and U.S. Government end users. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable U.S. and international export-control and sanctions laws in connection with the application, and not to export or re-export it except as authorized by those laws. If you are a U.S. Government end user, the application and its documentation are "commercial items," "commercial computer software," and "commercial computer software documentation" as defined in the applicable federal acquisition regulations, and are licensed to you with only those rights granted to all other end users under these Terms.
17.8 Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license to the application, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce those provisions against you as a third-party beneficiary.
17.9 Platform rules. Your use of the application must comply with the applicable app-store and platform terms and usage rules. Other platforms (for example, if the application becomes available on another app store) may have their own terms, which will apply in addition to these Terms.
18. Privacy#
Our Privacy Policy describes how we collect, use, disclose, and protect personal data in connection with the Service, including data such as your email, username, display name, photos, chat and trip content, RSVP and travel details, device and push tokens, and the IP address we use transiently for rate-limiting. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you acknowledge that you have reviewed the Privacy Policy. Where the Privacy Policy and these Terms address the same data-handling subject, the Privacy Policy controls.
19. Disclaimers and Warranties#
19.1 As is / as available. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," with all faults and without warranties of any kind.
19.2 Disclaimer. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, timely, error-free, or free of viruses or other harmful components, that any content (including User Content, link previews, or autocomplete suggestions) is accurate, complete, or reliable, or that any defects will be corrected.
19.3 Travel content. Trip, itinerary, location, cost, and date information in the Service is provided by Members or third-party autocomplete services. We do not verify it, and we are not a travel agency, tour operator, or provider of travel services. You are responsible for confirming any travel arrangements independently.
19.4 Non-waivable rights preserved. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of certain statutory rights. Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, condition, right, or remedy that you have under applicable law and that cannot lawfully be excluded or limited. To the extent any warranty is implied by law and cannot be excluded, our liability is limited as permitted by that law.
20. Limitation of Liability#
20.1 Exclusion of certain damages. To the maximum extent permitted by applicable law, in no event will Qrewlinq or its officers, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, or for the cost of substitute services, arising out of or relating to these Terms or the Service, whether based in contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.
20.2 Liability cap. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total amounts you paid us for the Service in the twelve (12) months before the event giving rise to the liability, or (b) USD $100.
20.3 Basis of the bargain. The disclaimers in Section 19 and the limitations in this Section are fundamental elements of the agreement between you and us and reflect a reasonable allocation of risk. They apply even if a limited remedy fails of its essential purpose.
20.4 Non-waivable liability and statutory rights. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. To the extent a limitation in this Section is not enforceable as to you under applicable law, that limitation applies to the maximum extent permitted by law.
21. Indemnification#
21.1 Your indemnity. To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Qrewlinq and its officers, directors, employees, and agents from and against any third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your violation of the rights of any third party, including intellectual property, privacy, or publicity rights; or (d) your interactions or disputes with other Members.
21.2 Procedure. We will notify you of any claim subject to indemnification, and we may, at our option, control the defense of the claim with counsel of our choice. You will not settle any claim in a way that imposes any obligation or admission on us without our prior written consent.
21.3 Consumer scope. If you are a consumer, this Section applies only to the extent permitted by the consumer-protection law that applies to you, and it does not require you to indemnify us for losses caused by our own breach, negligence, or willful misconduct, or that you could not reasonably have foreseen. Nothing in this Section limits your non-waivable rights.
22. Term, Suspension, and Termination#
22.1 Term. These Terms apply from the time you first access or use the Service and continue until terminated as described below.
22.2 Termination by you (in-app deletion). You may stop using the Service at any time. You may delete your Account using the "Delete Account" control in the app's Account screen. Deletion is immediate and permanent: there is no undo or reactivation period, your email and username become available again right away, and if you return you sign up as a new user. We delete your Account and associated data immediately, subject to the limited retention practices described in our Privacy Policy (including that chat messages you sent in qrews that continue to exist are not deleted with your Account; an existing or already-queued GitHub feedback issue is not automatically deleted or redacted; and log, backup, cache, and photo-file expiry), and subject to content that other Members have already received, as described in Section 10.
22.3 Termination or suspension by us. We may suspend, restrict, or terminate your Account or your access to all or part of the Service, with or without notice, if: (a) you violate these Terms (including the Acceptable Use Policy in Section 8); (b) we are required to do so by law or to respond to a legal request; (c) we reasonably believe it is necessary to protect the Service, other Members, or third parties; or (d) we discontinue the Service. Where we can do so consistent with law and the safety of the Service, we will give you reasonable notice.
22.4 Effect of termination. On termination, your right to use the Service ends. Termination does not entitle you to a refund except as required by applicable law or Apple's policies (see Section 16). If your Account is terminated for a violation of these Terms, you may not create a new Account without our permission. As described in our Privacy Policy, we may retain the terminated Account's current and report-time email addresses on a denylist for as long as reasonably necessary to enforce that restriction, prevent repeat abuse, protect Members, and enforce these Terms.
22.5 Survival. Sections that by their nature should survive termination will survive, including Sections 2 (Definitions), 6 (to the extent of residual and backup copies), 7, 12, 13.3, 14, 19, 20, 21, 22.4, 22.5, 23, 24, and 26.
23. Dispute Resolution#
23.1 Informal resolution first. Before starting any formal proceeding, you and we agree to try to resolve any dispute informally. You agree to contact us at legal@qrewlinq.com and describe your dispute, and we will try in good faith to resolve it. Many disputes can be resolved this way. If we cannot resolve a dispute within 30 days, either party may proceed as set out below.
23.2 Courts, not mandatory arbitration. These Terms use court resolution rather than requiring consumer arbitration. Subject to Section 23.3, disputes that proceed in court must proceed in the courts identified in Section 24. This Section does not prevent either party from bringing an individual claim in small-claims court if the claim qualifies.
23.3 Mandatory local rights. Nothing in this Section or Section 24 deprives you of a non-waivable right under applicable law to bring an eligible claim in small-claims court or another court that applicable law requires be available to you. This carve-out prevails over any inconsistent provision in Sections 23 and 24.
24. Governing Law, Venue, and Jurisdiction#
24.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
24.2 Venue. Subject to Section 23, including the mandatory-rights carve-out in Section 23.3, the exclusive venue for any dispute that proceeds in court is the state or federal courts located in Delaware, and you and we consent to the personal jurisdiction of those courts.
24.3 Consumer protection. If you are a consumer, the choice of law and venue in this Section does not deprive you of the protection afforded by mandatory provisions of the law of your U.S. state of residence.
25. Changes to the Service and to These Terms#
25.1 Changes to the Service. We may modify, suspend, or discontinue all or part of the Service at any time, including features and content. We will try to give reasonable notice of material changes that significantly reduce the core functionality available to you, where practicable.
25.2 Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by in-app notice or by email to the address associated with your Account) and update the "Last updated" date. Changes take effect on the effective date stated in the notice or, if none is stated, when posted.
25.3 Acceptance of changes. If you continue to use the Service after the updated Terms take effect, you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your Account (Section 22). Where required by applicable law, we will obtain your consent to material changes before they apply to you.
26. General Provisions#
26.1 Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.
26.2 Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
26.3 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law. Subject to this Section, these Terms bind and benefit the parties and their permitted successors and assigns.
26.4 No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
26.5 Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, failures of the internet or telecommunications, and failures or unavailability of third-party services or infrastructure (including cloud-hosting providers).
26.6 Electronic communications. You consent to receive communications from us electronically, including by in-app notice, push notification, and email. You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.
26.7 Notices. We may provide notices to you by in-app notice, push notification, or email to the address associated with your Account. You may provide notices to us at legal@qrewlinq.com or by mail to Capital Grove Collective LLC, 1820 Burke Street SE, Washington, DC 20003.
26.8 Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and us.
26.9 No third-party beneficiaries. Except for Apple as set out in Section 17, and except for the indemnified parties in Section 21, these Terms do not create any third-party beneficiary rights.
26.10 Language. These Terms are drafted in English. Any translation we provide is for convenience only, and the English version governs to the extent permitted by applicable law (and subject to any mandatory language requirements that apply to you as a consumer).
26.11 Future geographic expansion. These Terms govern the U.S.-only Service described in Section 3.5. If we make the Service available to residents of another country or region, we may provide additional or replacement terms and privacy disclosures before that expansion takes effect.
